Registries Platform Terms of Use
These terms and conditions (the “Terms”) set out the terms on which you may make use of our Registries platform (the “Registries Platform”).
Please read these Terms carefully before you start to use the Registries Platform. By clicking “Accept” and using the Registries Platform, you confirm that you accept these Terms and that you agree to comply with them. If you do not agree to these Terms, you must not use the Registries Platform.
The Registries Platform is owned and operated by The European Society of Cataract and Refractive Surgeons, a company limited by guarantee registered in England and Wales under number 03153785 with its registered office at C/O MCI, Suite 7 - 9, The Hop Exchange, 24 Southwark St, London SE1 1TY ("ESCRS", “we”, “our”, and “us”).
- THESE TERMS
- These Terms constitute the agreement between you and us for the use of the Registries Platform.
- These Terms govern your access to and use of the Registries Platform. Where you are a Data Provider (or acting on behalf of a Data Provider) that has entered into a Data Sharing Agreement with ESCRS in relation to the Registries Platform, the Data Sharing Agreement shall govern the sharing of the ophthalmic surgical data uploaded to the Registries Platform, which may include anonymised or pseudonymised patient data (Shared Data), and which is used for the Purposes.
- In the event of any conflict between these Terms and the Data Sharing Agreement, the Data Sharing Agreement shall take precedence with respect to the collection, transfer, use and retention of Shared Data.
- We may change these Terms from time to time. Any changes we may make to these Terms in the future will be posted on the site. By continuing to use and access the Registries Platform following such changes, you agree to be bound by them. Please review this page frequently to see any updates or changes to these Terms.
- THE REGISTRIES PLATFORM
- We provide the Registries Platform on an "as is" and "as available" basis with all faults. We do not guarantee that the Registries Platform will always be available or be uninterrupted. We may suspend, withdraw, discontinue or change all or any part of the Registries Platform without notice. You agree that your use of the Registries Platform is at your own risk. We will not be liable to you if for any reason any of the Registries Platform is unavailable at any time or for any period.
- The Registries Platform is intended to support the analysis of anonymised or pseudonymised ophthalmic surgical data for quality assessment, clinical benchmarking, epidemiological studies, research projects, and the generation of aggregated reports aimed at improving patient care and surgical outcomes (together the “Purposes”). Unless specifically stated otherwise, any new content, features, materials, services or software applications introduced on the Registries Platform shall be subject to these Terms.
- By using the Registries Platform, you represent and warrant that:
- you are authorised to act on behalf of the clinic, hospital, institution or other organisation that you represent (the “Data Provider”);
- you will only upload data in accordance with the Data Provider’s obligations under the applicable Data Sharing Agreement; and
- you will not upload any data to the Registries Platform that directly identifies a patient.
- INTELLECTUAL PROPERTY RIGHTS
- The Registries Platform is owned by ESCRS, and / or its licensors as the case may be, and is protected by copyright and other applicable intellectual property rights. You may not adapt, modify, reverse engineer, decompile or disassemble the Registries Platform, or create a derivative work or act as a service provider based on the Registries Platform.
- You acquire no ownership right, title or interest in or to the Registries Platform or in any applicable intellectual property rights save for the limited right to use the Registries Platform for the Purposes on a non-exclusive, non-transferable, non-sublicensable basis upon and subject to these Terms.
- DATA PROTECTION
- Any personal information that you provide to us, or that we may process in relation to the Registries Platform, will be processed in accordance with our Privacy Policy.
- You must not input directly identifiable patient data. Any data uploaded must be anonymised or pseudonymised in accordance with the applicable Data Sharing Agreement.
- You are otherwise responsible for ensuring that any use of the Registries Platform complies with data protection laws applicable to you and / or the business or organisation you represent.
- DISCLAIMER
- The Registries Platform is meant to serve as an adjunct tool for use for the Purposes. The results obtained are not intended to serve as medical or surgical instruction from ESCRS, nor can ESCRS guarantee that the results will be accurate in every case. Users of the Registries Platform must arrive at their own independent determinations regarding the use of the data and are solely responsible for any outcome.
- By using the Registries Platform, you agree to indemnify and hold ESCRS (together with our trustees, directors, employees, and third-party providers) harmless from and against any and all liabilities, costs, claims, damages and losses (including reasonable legal fees) which may arise directly or indirectly out of or in connection with:
- your breach of these Terms (including without limitation any breach of the warranties in clause 2.3);
- any upload of data that directly identifies a patient or otherwise breaches applicable data protection laws;
- your use of the Registries Platform other than in accordance with these Terms;
- any claim brought by a third party (including a patient, regulator, or Data Provider) arising from your use of the Registries Platform.
- To the maximum extent permitted by law, we disclaim any and all implied conditions, warranties and representations that the Registries Platform and the results or data obtained through it are of satisfactory quality, accurate, fit for a particular purpose, or non-infringing.
- LIMITATION OF OUR LIABILITY
- As the Registries Platform is free to use for its member, to the maximum extent permitted by law, we (together with our trustees, directors, employees, and third party providers) do not accept any liability to you (whether arising in contract, tort (including negligence), breach of statutory duty or otherwise) in respect of your use of the Registries Platform or from the results or data obtained from it.
- Nothing in these Terms limits ESCRS’s liability for breach of its obligations under applicable data protection laws.
- Furthermore, we do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or for fraud or fraudulent misrepresentation.
- LAWFUL USE
- You may use the Registries Platform only for lawful purposes. You must not use the Registries Platform in any way that breaches any applicable local, national or international law or regulation.
- VIRUSES
- We do not guarantee that the Registries Platform will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and platform in order to access the Registries Platform. You should use your own virus protection software.
- You must not misuse the Registries Platform by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Registries Platform, the server on which the Registries Platform is stored or any server, computer or database connected to the Registries Platform.
- LINKING
- You may link to the Registries Platform, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link to the Registries Platform in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link to the Registries Platform in any website that is not owned by you. We reserve the right to withdraw linking permission without notice.
- If you wish to link to or make any use of the results or data derived from use of the Registries Platform other than the Purposes, please contact us at registries@escrs.org.
- TERMINATION
- You may discontinue use of the Registries Platform at any time. These Terms will continue to apply to any past use by you of the Registries Platform.
- We may suspend or terminate your access immediately if you commit a material or persistent breach of these Terms.
- Suspension or termination of your access will not affect ESCRS’s right to continue to use data already uploaded in accordance with these Terms and the applicable Data Sharing Agreement.
- MISCELLANEOUS
- If we do not exercise or enforce any legal right or remedy which may be available to us, this will not be taken to be a formal waiver of our rights.
- If any part of these Terms shall be unlawful or unenforceable for any reason, this shall not affect the remainder of these Terms and that part shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
- All legal notices in relation to the Registries Platform or these Terms should be given in writing and addressed to registries@escrs.org.
- APPLICABLE LAW
- These Terms shall be governed by and construed in accordance with the law of England and Wales. You and ESCRS irrevocably agree that the courts of England and Wales have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or their subject matter or formation.
